These Terms of Academic Service ("Terms") govern your enrollment, access to, and use of the educational modules, portal, and digital materials provided by Fakumi Oraris B.V. By submitting an application or paying academic tuition, you agree to be bound by these Terms.
Section 1: Regulatory Disclosure & Status
1.1 Educational Entity Status: Fakumi Oraris B.V. operates strictly as an educational technology (EdTech) publisher and academic institution. We are not a broker-dealer, financial advisory firm, or asset management company.
1.2 Exemption from AFM Licensing: Because we do not solicit deposits for investment, do not execute trades on behalf of clients, and do not provide personalized financial recommendations, our operations fall entirely outside the regulatory scope requiring a license from the Dutch Authority for the Financial Markets (Autoriteit Financiële Markten - AFM).
1.3 No Financial Advice: All materials, including video seminars, PDF frameworks, and simulator data, are provided for theoretical and academic research purposes only. Analysis of historical macroeconomic data or statistical probability models must not be construed as a directive to buy, sell, or hold any financial instrument.
2. Academic Enrollment and Portal Access
2.1 Eligibility: Enrollment in Nexus Academy modules (101-500) is restricted to individuals who are at least 18 years of age. By enrolling, you warrant that you meet this age requirement and possess the legal capacity to enter into a binding contract.
2.2 Account Integrity: Access to the educational portal is granted on a strict single-user license basis. You are explicitly prohibited from sharing your login credentials, distributing video materials, or facilitating group access to the academic simulator. Violation of this clause will result in immediate termination of portal access without refund.
3. Intellectual Property Rights
3.1 Copyright: All content delivered through the portal—including but not limited to theoretical diagrams, statistical equations, video seminars, PDF research papers, and proprietary codebase within the charting simulator—is the exclusive intellectual property of Fakumi Oraris B.V.
3.2 Usage Restrictions: Payment of tuition grants you a revocable, non-exclusive, non-transferable license to consume the academic material for personal education. You may not record, scrape, reverse-engineer, publish, or monetize any component of the syllabus.
4. Tuition, Payments, and Refund Policy
4.1 Fee Structure: All academic tuition fees (ranging from €230 to €320 per module) are listed on our Syllabus page. Fees are billed in Euros (EUR) and include applicable Value Added Tax (VAT) in accordance with EU tax regulations.
4.2 EU 14-Day Right of Withdrawal: Under European Consumer Rights Directives for digital goods, students are entitled to a full refund within fourteen (14) days of the initial tuition payment.
4.3 Conditions for Withdrawal: The right to a refund is forfeited if the student has actively consumed the digital product. We mathematically define "consumption" as accessing more than 25% of the module's video seminars or downloading any proprietary PDF research material. Refund requests must be initiated via the administrative portal prior to crossing this consumption threshold.
5. Limitation of Liability
5.1 Educational Context: Nexus Academy teaches quantitative analysis using sanitized historical datasets. It is a mathematical fact that historical data distribution does not guarantee identical future sequences.
5.2 Indemnification: To the maximum extent permitted by applicable Dutch law, Fakumi Oraris B.V., its faculty, and its directors shall not be held liable for any direct, indirect, systemic, or consequential financial losses incurred by a student who attempts to apply theoretical concepts in live, real-world capital markets. Market participation carries inherent systemic risks over which the Academy has no control.
6. Technological Requirements
6.1 Platform Stability: While we strive for 99.9% uptime of our educational portal and historical simulator, we do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated to active students via email.
7. Governing Law and Jurisdiction
These Terms of Academic Service shall be governed by and construed strictly in accordance with the laws of the Netherlands. Any administrative or legal disputes arising from these terms, the curriculum, or portal access shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, Netherlands.
